1. Acceptance of Terms
By accessing or using the Holbrook Operations & Logistics LLC (“HOL,” “we,” “us,” or “our”) website or engaging our consulting, logistics, or management services, you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations.
If you do not agree to these Terms, you are prohibited from using this website or engaging our services.
HOL reserves the right to revise these Terms at any time without prior notice. The date of the latest revision will always appear at the top of this document. Your continued use of our website or services after changes constitutes your acceptance of the revised Terms.
2. Scope of Services
Holbrook Operations & Logistics provides logistics coordination, operations consulting, supply chain management, and business advisory services to government and commercial clients.
All services are delivered in accordance with a written Statement of Work (SOW), proposal, or master services agreement (MSA) signed by both parties.
Any verbal discussions, proposals, or suggestions are not binding until incorporated into a written and mutually executed agreement.
HOL does not provide:
Legal, financial, investment, or tax advice
Engineering, architectural, or design services
Licensed transportation or freight carrier services unless expressly stated in a subcontracting agreement
Clients are responsible for ensuring their own compliance with all federal, state, and local regulations applicable to their operations.
3. Independent Contractor Relationship
HOL operates as an independent contractor. Nothing in these Terms or any client agreement shall be construed as creating an employer–employee, joint venture, or partnership relationship between HOL and any client.
Subcontractors engaged by HOL operate under HOL’s supervision and are required to maintain their own insurance and compliance certifications unless otherwise agreed in writing.
4. Client Responsibilities
Clients agree to:
Provide accurate and complete information necessary for service delivery.
Review and approve project scopes, deliverables, and timelines in writing.
Respond promptly to communication and requests for clarification.
Maintain internal policies and compliance as required by law or contract.
HOL shall not be held responsible for delays, errors, or costs resulting from incomplete, inaccurate, or withheld client information.
5. Professional Standards and Disclaimer
HOL performs all services in accordance with accepted professional practices and industry standards.
However, outcomes may vary based on client participation, data accuracy, and third-party factors outside our control.
All information, reports, and recommendations provided by HOL are for informational and advisory purposes only.
HOL makes no guarantee or warranty, express or implied, regarding the accuracy, completeness, or performance outcomes of any services or deliverables.
6. Limitation of Liability
To the fullest extent permitted by law, HOL, its officers, employees, contractors, and affiliates shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Claims arising from third-party actions or subcontractor negligence beyond the limits of HOL’s written agreements
HOL’s total liability under any claim, contract, or legal theory shall not exceed the total amount of fees paid by the client for the specific project or engagement giving rise to such claim.
7. Indemnification
Clients agree to indemnify, defend, and hold harmless Holbrook Operations & Logistics LLC and its officers, members, agents, and subcontractors from any and all claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising from:
Client’s misuse of HOL’s deliverables or services
Client’s breach of these Terms or applicable law
Client’s negligence or willful misconduct
Any claim by third parties related to the client’s operations or data provided to HOL
8. Insurance Coverage
HOL maintains active commercial insurance policies including:
Professional Liability (Errors & Omissions) – Policy #N9PL664852 (National Liability & Fire Insurance Co.)
General Liability – (Policy on file; details available upon request)
Certificates of Insurance are available to clients upon request.
Clients engaging subcontractors or vendors through HOL must provide proof of comparable insurance coverage naming HOL as an Additional Insured where required by contract.
9. Confidentiality and Data Protection
Both HOL and the client agree to maintain the confidentiality of proprietary or sensitive information exchanged during the course of business.
HOL implements commercially reasonable administrative, physical, and technical safeguards to protect client data.
Confidential information will not be disclosed to third parties without written consent, except as required by law, court order, or contract obligations (e.g., government audits).
10. Intellectual Property Rights
All materials, strategies, analyses, templates, and deliverables developed by HOL remain the intellectual property of Holbrook Operations & Logistics LLC, unless otherwise assigned in writing.
Clients are granted a non-exclusive, non-transferable license to use deliverables solely for their internal business operations.
No ownership or resale rights are transferred to the client without prior written consent.
11. Termination
Either party may terminate services with written notice if the other party breaches these Terms or fails to perform material obligations.
Upon termination:
All unpaid invoices become immediately due.
Client must cease using any proprietary materials, tools, or deliverables provided by HOL.
HOL will provide final deliverables or summaries of completed work, subject to full payment of outstanding balances.
12. Governing Law and Dispute Resolution
These Terms and any related agreements shall be governed by the laws of the State of New Jersey.
Any dispute shall first be attempted through good-faith mediation.
If unresolved, the dispute shall be submitted to binding arbitration in Somerset County, NJ, under the rules of the American Arbitration Association.
Judgment upon the arbitration award may be entered in any court of competent jurisdiction.
Each party shall bear its own legal costs unless otherwise determined by the arbitrator.
13. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with any signed agreements, statements of work, or proposals, constitute the entire agreement between the client and Holbrook Operations & Logistics LLC and supersede all prior discussions or communications, written or oral.
15. Refunds & Cancellations
Holbrook Operations & Logistics LLC (“HOL”) is committed to fair, transparent, and client-focused business practices. All refund and cancellation procedures are governed by the terms outlined in our Refund & Cancellation Policy, available at holbrookoperations.com/refund-policy.
By engaging our services, you acknowledge and agree to the following terms related to refunds and cancellations:
1. General Refund Eligibility
• Refunds may only be considered prior to the start of a project or service engagement.
• Once services have begun, deliverables have been issued, or consulting work has been performed, payments are non-refundable.
• Refunds may be granted only when services cannot be rendered due to HOL’s error, duplicate payment, or other verified circumstances as described in our full Refund Policy.
2. Cancellation Policy
• Clients may cancel an upcoming service or project by providing written notice to accounts@holbrookoperations.com at least five (5) business days before the start date.
• Cancellations received after this window may incur administrative fees up to 25 percent of the total project cost to cover pre-engagement preparation and allocated resources.
• Retainer and subscription-based services may be canceled for future billing periods only. Active billing cycles are non-refundable once processing has begun.
3. Refund Process & Timelines
• All refund requests must be submitted in writing to accounts@holbrookoperations.com and must include the client name, invoice number, payment details, and reason for the request.
• Refunds will be reviewed within ten (10) business days and, if approved, processed back to the original payment method within five (5) to ten (10) business days after approval.
• HOL will confirm all approved refunds in writing.
4. Dispute Resolution
• If a client disagrees with a refund determination, they may request a secondary review by emailing compliance@holbrookoperations.com within seven (7) business days of the decision.
• HOL reviews all disputes in good faith to ensure fair outcomes consistent with this policy and applicable law.
5. Force Majeure & Legal Exceptions
• HOL is not responsible for delays or cancellations caused by circumstances beyond its reasonable control, including natural disasters, system outages, or government restrictions.
• Refunds required by law (such as for duplicate or erroneous charges) will be issued promptly and in accordance with applicable consumer-protection statutes.
6. Policy Integration
• This section forms part of the full Terms of Service and should be read together with our Refund & Cancellation Policy, Privacy Policy, and applicable Service Agreements.
• By continuing to use HOL services, you acknowledge that you have read, understood, and agree to these terms in their entirety.
